The terms and conditions of this Service Guide are subject to modification upon 30 days prior notice to Customer (“Notice”). MASSIVE NETWORKS will provide any such Notice to Customer by one of the following methods, and MASSIVE NETWORKS shall solely determine at the time of the Notice which of the methods described here is appropriate under the circumstances: (i) by bill insert or bill page notice; or (ii) by letter or postcard via U.S. Postal Service to Customer’s billing address of record; or (iii) via an email to Customer’s billing and/or technical contact of record. MASSIVE NETWORKS may determine that it is appropriate under certain circumstances to provide Notice of a particular change via more than one of these methods; however, such multiple Notices are not required at any time. Customer’s continued usage of or payment for any such affected Service after the effective date of any modification for which Customer has received Notice shall be deemed Customer’s acceptance of the modification(s).
All trunks include a single voice path and allow both inbound and outbound calls. Minutes are pooled among trunks.
Basic Trunk: Includes unlimited† inbound, unlimited† local** outbound, and $0.039 for outbound Domestic LD off-net* calling, unless a Domestic LD minute bundle is chosen.
Enhanced Trunk: Includes unlimited† inbound, unlimited† local** outbound, and 750 minutes of outbound Domestic LD off-net* calling. Additional outbound Domestic LD minutes are charged a per-minute rate of $0.039.
Premium Trunk: Includes unlimited† inbound, unlimited† local** outbound, and 1500 minutes of outbound Domestic LD off-net* calling. Additional outbound Domestic LD minutes are charged a per-minute rate of $0.039.
Seats: All seats include a single voice path and allow both inbound and outbound calls. All seats include unlimited inbound and unlimited local outbound calling and must be part of an unlimited Domestic LD minute plan or a Domestic LD minute bundle must be purchased. Minutes can be pooled among all seats. Each seat type includes a unique set of corresponding features.
Basic: Limited feature set for break rooms and other common areas.
Conference: Limited feature set for conference room applications.
Enhanced: Includes dozens of productivity-enhancing features.

Short Duration Calls: MASSIVE NETWORKS reserves the right to charge a full 60 seconds for excessive short duration calls. The number of short duration calls is considered excessive when greater than 10% of calls within a monthly billing cycle last less than 6 seconds.

Cancellation before Service Activation Fee: Customer agrees to pay a cancellation fee of $2,000 plus any additional costs MASSIVE NETWORKS incurs from its underlying carriers if Customer cancels Services before Start of Service Date.
Change Order: Service can be provisioned according to the location information and technical specifications detailed on this order form. Changes and modifications to this information must be submitted in writing to support@massivenetworks.net referencing your MASSIVE NETWORKS provided Order Number. Each change will incur a $500 Design Change Fee per location.
Requested Due to Date Changes: Changes to your Requested Due Date must be submitted in writing to support@massivenetworks.net referencing your MASSIVE NETWORKS provided Order Number. Each change will incur a $500 Due to Date Change Fee per location. Please see Section 4 of your MSA for more information.
RBOC/Non-RBOC Termination: MASSIVE NETWORKS requires that 80% of your traffic terminates in Regional Bell Operating Company (RBOC) territories. Should the non-RBOC termination rate exceed 20%, MASSIVE NETWORKS will rate all non-RBOC calls more than 20% at $0.15 per minute
Availability: Domestic LD plans are available in the continental United States. Domestic LD minutes are for use in the continental United States only.
Incorrectly Provisioned 911 call: Clients will incur a $350 charge per occurrence for 911 emergency services calls from a number not provisioned and set up with MASSIVE NETWORKS during the install and setup process
Directory Assistance: Calls to directory assistance are charged $1.50 per call
The minimum call duration for billing purposes is: (a) for Voice Services in the continental US and Canadian provinces, six (6) seconds minimum initial period and usage is rounded to the next higher six (6) the second increment after the initial period; (b) for International Voice Services (for only those international routes offered by MASSIVE NETWORKS) EXCEPT Mexico, six (6) second minimum initial period and usage is rounded to the next higher six (6) the second increment after the original period; and (c) for Voice Services to and from Mexico, sixty (60) seconds minimum initial period and usage is rounded to the next higher sixty (60) the second increment after the initial period.
Additional Fees

Fax to Email
MASSIVE NETWORKS Fax to Email Service is provided by a third party. MASSIVE NETWORKS does not represent, warrant, or guarantee in any manner whatsoever, either express or implied; that Customer will be able to use local number portability to port any number away from MASSIVE NETWORKS or MASSIVE NETWORKS’s third party provider of the Fax to Email Services.
Fair Usage
UNLIMITED LOCAL CALLING
Unlimited local calling is limited to 70% of the total call volume of local and domestic LD calling. All usage over 70% of the total call volume will first be tracked against domestic LD minute bundles at a ratio of 7 to 3. If minutes provided in the domestic LD minute bundle are exhausted, additional usage will be billed at 7/3 of the customer’s domestic LD per minute rate.
UNLIMITED HOSTED OUTBOUND CALLING
Unlimited hosted outbound calling is limited to 1000 outbound off-net minutes per hosted seat. Minutes are pooled among hosted seats at the same service location. An individual seat may go over 1000 outbound off-net minutes but the aggregate outbound off-net minutes from all seats may not exceed the total outbound off-net minutes pooled. Any overages will be billed at MASSIVE NETWORKS’s standard per minute rate, currently $0.039 per minute.
SHORT DURATION CALLS

Professional Installation
MASSIVE NETWORKS On-site Installation Specifications and Pricing
Professional Installation is included for all MASSIVE NETWORKS Voice Services. MASSIVE NETWORKS’s authorized installation contractor will perform the work. MASSIVE NETWORKS recommends that Customer order a MASSIVE NETWORKS site survey to identify potential obstacles to installation and to preclude the possibility of unexpected installation delays and additional costs to the Customer. MASSIVE NETWORKS will perform an onsite survey at the time of the first install appointment; however, this may delay your service activation date.
1. MASSIVE NETWORKS Professional Installation includes the following:
a. Install and test connectivity of an appropriate surface mounted wall jack to the MASSIVE NETWORKS provided CPE.
b. Install MASSIVE NETWORKS provided CPE (shipped to the Customer’s Service Location before the installation):
i. Mount the CPE to the appropriate rack or surface
ii. Power up the hardware.
iii. Verification of Layer 2 and Layer 3 connectivity.
c. Test connectivity from the Customer’s Service Location to MASSIVE NETWORKS’s Core Network.
d. MASSIVE NETWORKS Turn-Up personnel ping the WAN interface of the MASSIVE NETWORKS provided CPE.
i. Demonstrate connectivity to local contact and obtain signed acknowledgment from Customer’s authorized representative.
e. Leave an unplugged 6-foot Ethernet cable next to the installed CPE or inside the CPE packaging materials. Customer may use this cable to connect the MASSIVE NETWORKS CPE to a Local Area Network device.
f. If MASSIVE NETWORKS cannot complete a Professional Installation, notwithstanding Layer 2 or Layer 3 connectivity issues caused by MASSIVE NETWORKS provided CPE and/or MASSIVE NETWORKS network elements, Customer will be billed for the attempted installation using the Truck Roll charges outlined in the Non-Recurring Charges table below, and for any additional time and materials required to complete the installation at the rates listed in the Non-Recurring Charges table or in the Service Order Form.
2. Materials for Professional Installation. Professional installation includes minor materials required to turn up the Service (such as single in-line filters or couplers) but does not include major additional materials (such as conduit or NID splitters). If Customer stops the installation for any reason that requires an AUTHORIZED INSTALLATION CONTRACTOR to return to the site to complete the installation, additional truck roll charges will apply. For this reason, MASSIVE NETWORKS recommends that customers with non-standard arrival requirements (such as restaurants with busy periods or retail establishments with hours outside 8 AM to 5 PM local time) discuss this with MASSIVE NETWORKS at the beginning of the installation process.
If the AUTHORIZED INSTALLATION CONTRACTOR fails to arrive or does not have the necessary materials to complete installation as defined, MASSIVE NETWORKS will reschedule installation and Customer will not be charged for the missed installation attempt.
If Professional installation is insufficient for Customer’s installation requirements, and MASSIVE NETWORKS cannot transition to Custom installation during the Professional installation truck-roll, MASSIVE NETWORKS may, at its discretion, attempt to meet expanded requirements through time and materials charges (for example, installing extra wiring).
3. Additional Installation Requirements. For Customers with installation needs outside the scope of Professional installation, any custom installation work must be handled by the Customer’s Vendor or discussed and authorized with MASSIVE NETWORKS’s Authorized Installation Contractor.
4. Limitations on Installation Services. The following installation activities are never provided by MASSIVE NETWORKS:
a. Drilling through masonry or exterior walls.
b. Installing wiring in attics or crawl spaces.
c. Wiring externally to the suite or building, including drilling from the outside of a building to the inside of a building.
d. Installing wiring through multiple floors or from a DMARC to a suite in a multi-tenant unit (MTU).
e. Accepting or utilizing site surveys provided by the Customer or by a third party.
f. Installing wiring or equipment in a location or manner that in MASSIVE NETWORKS’s reasonable opinion would create a safety hazard including work in, above, or near food preparation areas.
5. Customer’s Pre-Installation Obligations for Installation.
a. For All Installation. Customer shall provide MASSIVE NETWORKS’ authorized installation contractors with access to all areas necessary to complete the installation. Before the scheduled installation date, Customer shall:
i. Obtain any licenses, approvals, and permissions required by a landlord, building manager, or governmental authority for the installation and meet any insurance requirements related to the installation;
ii. Identify Service locations potentially outside the scope of Professional installation or Custom installation as defined in the Customer’s Technical Requirements Agreement, as additional costs may be incurred, including charges for a second installation if work cannot be performed within the scope during the first scheduled installation; and
iii. For any Service location in a mall or other multi-tenant unit (MTU), Customer shall arrange for the use of tie pairs/facilities extending from the local telephone company demarcation point (DEMARC) to a common location within Customer’s store or leased space at the Service location. If no such pairs/facilities exist, Customer is responsible for their installation and clear identification of appropriate facilities for use before the date scheduled for Installation. If facilities are not ready, Customer may be charged for an additional installation truck-roll and any other related charges.
6. Installation Schedule. In the absence of an amendment to this Agreement that establishes a schedule for installing the provisional Service locations ordered by Customer, or network elements that delay the installation project such as construction, network equipment augmentations or other, the Parties shall work in good faith to promptly schedule the installation of ordered Service so all provisional Service locations are scheduled for installation to be completed within ninety (90) days of the date on which Customer delivers this executed Agreement and associated Service Orders to MASSIVE NETWORKS. Those locations that do not meet this scheduling deadline due to Customer scheduling issues will not be eligible for any MASSIVE NETWORKS promotions and may be subject to Cancellation Fees.
Installation is scheduled after the circuit is delivered to the DMARC (“Basic Installation”) and MASSIVE NETWORKS ships the CPE to Customer, if applicable. For Professional Installation, MASSIVE NETWORKS provides a four (4)-hour window for the arrival of the AUTHORIZED INSTALLATION CONTRACTOR and requires Customer to have a local contact on-site for the duration of the installation. This local contact must be authorized to sign the MASSIVE NETWORKS work order verifying installation completion. If Customer requires a specific arrival time, an arrival window outside 8 AM to 5 PM local time or installation verification from an off-site contact, Customer may be subject to additional charges.

Customer shall also be liable to MASSIVE NETWORKS for all non-recurring and recurring charges that were waived or discounted by MASSIVE NETWORKS. Customer agrees that MASSIVE NETWORKS’s damages will be impossible to ascertain if any Service is terminated and that the preceding early termination charge establishes liquidated damages and is not a penalty. |

Data Services
Ethernet Over Copper
Ethernet over Copper (EoC) service is delivered over DS0 loops and uses G.SHDSL technology. G.SHDSL enables High bandwidth symmetrical data transmission rates over copper telephone lines. Higher bandwidth can be delivered over longer distances using copper loop bonding, which allows multiple pairs to be used as a single high capacity link. The number of twisted copper pairs required to deliver the EoC service will depend upon the speed requested, distance from the central office (CO) and quality of copper facilities available.
All EOC orders require standard MASSIVE NETWORKS service setup for installation. EoC services also require CPE provided and owned by MASSIVE NETWORKS.

Service Availability
Before placing an end user circuit order, MASSIVE NETWORKS will use its Providers Service Availability tools on to ensure that the desired services are likely to be available for a specific end user location. MASSIVE NETWORKS determines service availability by utilizing data received from the carrier or by the approximate distance between the serving CO and the end user premises.
NOTE: Service availability does not guarantee service installation.
ORDERING
Orders will not be accepted for speeds other than what the Service Availability Tool has indicated are available at the end user location.
Due to some factors, including true wire distance and condition and the technical features of a particular end user circuit, actually observed speeds for a particular service can only be verified once the service has been provisioned.
If MASSIVE NETWORKS determines that it cannot provide the service requested by the end user, MASSIVE NETWORKS may initiate an order rejection or contact the customer for consent to upgrade or downgrade the requested service to another MASSIVE NETWORKS service.
For Ethernet over Copper, Ethernet over Bonded SDSL, and Ethernet over DS1 Services
When EOC or EoBSDSL service is not available due to technical limitations, MASSIVE NETWORKS can typically support another Service, including EoDS1, Ethernet over fiber, or TDM. In such a scenario, MASSIVE NETWORKS asks the customer to cancel the original EOC or EoBSDSL order and place a new order for the alternate Service. The customer also has the option of canceling the order without incurring any cancellation fee. The customer can approve the change of service by email response to their MASSIVE NETWORKS Sales Team or by contacting the MASSIVE NETWORKS Customer Orders team (orders@MASSIVE NETWORKSusa.com) within 10 calendar days. To upgrade or downgrade the order, the customer will work with the MASSIVE NETWORKS Sales Team to provide authorization via a new Service Order Form.
When ordered EoC or EoBSDSL service speed is not available due to technical limitations, such as longer loop length or unavailability of required number of twisted copper pairs, MASSIVE NETWORKS will contact Customer and offer to install the maximum available throughput rate and corresponding MASSIVE NETWORKS EOC, or EoBSDSL ServiceIf Customer accepts the MASSIVE NETWORKS EoC or EoBSDSL Service at a lower speed, MASSIVE NETWORKS will notify Customer via email with the throughput rate accepted by customer. If MASSIVE NETWORKS installs an End User Service at a throughput rate that is less than the ordered rate, MASSIVE NETWORKS will bill Customer for the MASSIVE NETWORKS Service at the lower throughput rate installed at the End User location. Under such circumstance, the customer will work with the MASSIVE NETWORKS Sales Team to provide authorization via a new Service Order Form.
If MASSIVE NETWORKS determines that EoBSDSL or EOC Services cannot be successfully delivered to a particular End User location, MASSIVE NETWORKS will notify Customer via email with the reason why the MASSIVE NETWORKS Service ordered could not be successfully delivered.
NOTE: Unless the customer notifies MASSIVE NETWORKS to the contrary, MASSIVE NETWORKS automatically cancels the order 10 calendar days after informing the customer that the ordered EoC or EoBSDSL service is not available

All Services
Disconnect Orders
To disconnect a service, Customer must submit a disconnect order as defined regarding the MASSIVE NETWORKS Service Agreement. Service charges will continue to apply for the period specified in the Term section of the MASSIVE NETWORKS Service Agreement.
The Customer may delay their End of Service Date just once. The new End of Service Date can be no more than 14 calendar days later than the first End of Service Date. The Customer may initiate a delay by submitting a request using the same process as defined regarding the MASSIVE NETWORKS Service Agreement. Customer may cancel a disconnect order up until 5 business days before the End of Service Date by submitting a request using the same process as defined in terms of the MASSIVE NETWORKS Service Agreement.
Installation Charge Waiver
Installation charges will be waived for all MASSIVE NETWORKS provided Service Components listed below. If any such Service Component is disconnected during the Initial Term of the Service, after the installation of the service, Customer must pay the full amount of the installation charge previously waived.

Customer Not Ready (CNR)
If on the LEC FOC Date, Customer is not ready to use the Service (“CNR”) for any reason, including but not limited to, power or interconnecting facilities at the Customer site being unavailable, the unavailability of services or other products provided by a party other than MASSIVE NETWORKS, or Customer not providing the necessary access to the Customer location, Customer will promptly either accept for billing or cancel (under Section 10) and re-order the portion(s) of the Service that are ready for activation. If Customer is not ready to accept the Service on the LEC FOC Date, Customer must provide MASSIVE NETWORKS with written notice to orders@massivenetworks.net and support@massivenetworks.net at least five (5) business days before the LEC FOC Date. Upon receipt of timely notice from Customer, MASSIVE NETWORKS will attempt to change the Order with the underlying carrier. Customer will be liable for payment of any applicable change fees as outlined in the Service Guide. If MASSIVE NETWORKS is unable to change the Order with the underlying carrier or if Customer fails to provide the required notice and is not ready to accept Service on the LEC FOC Date and Customer chooses not to cancel the Service, Customer will be liable for payment of a monthly CNR fee which will be equal to the MRC for the Service. Customer will be liable for payment of the CNR fee until such time that Customer is ready to accept Service. MASSIVE NETWORKS reserves the right to cancel the Service at any time on or after the LEC FOC Date and charge Customer the applicable cancellation fee for the Service in addition to the CNR Fee (if applicable) up until the time of cancellation.
* Off-net calls are defined as outbound calls to locations not included under customer billing account. Calls between client locations included under a customer’s billing account do not count towards inbound or outbound usage.
** Local calls are defined as outbound calls to numbers that are intra-LATA and intra-state.
† Unlimited usage plans are subject to MASSIVE NETWORKS’s fair usage policy and are not to be used with: call centers, autodialers or any similar types of devices or applications. MASSIVE NETWORKS has the right to deny or terminate unlimited voice plans where inbound or outbound off-net* usage is greater than 1,000 minutes per month.
